SECOND QUARTER ENDED APRIL 30, 2002
Revenue and Earnings Exceed Company Guidance
Pro Forma Earnings Per Share Grow to $0.06; Up 100% Over Prior Year
DENVER, May 22, 2002 – J.D. Edwards & Company (Nasdaq: JDEC) today reported financial results for the second quarter ended April 30, 2002.
Profitability in the second quarter of fiscal 2002 improved considerably over the second quarter of fiscal 2001. Pro forma operating income was $11.5 million, up from $1.5 million in the second quarter of fiscal 2001. Pro forma net income grew 165% to $7.6 million, or $0.06 per diluted share, compared to $2.9 million, or $0.03 per diluted share in the same period of fiscal 2001. Total revenue was $223.6 million, compared to revenue of $221.9 million in the second quarter of fiscal 2001.
License fee revenue grew 23% sequentially to $54.1 million, and services revenue grew to $169.5 million, including $5.3 million of reimbursable, out-of-pocket expenses. The services revenue for all periods reported includes reimbursable expenses, which are now reflected in revenue and cost of revenue in accordance with newly-adopted accounting pronouncement, EITF 01-14.
For the six months ended April 30, 2002, total revenue was $428.3 million, compared to $444.0 million for the same period of fiscal 2001. Pro forma net income for the six months of fiscal 2002 was $11.2 million, or $0.09 per diluted share, compared to $3.1 million, or $0.03 per diluted share, for the same period last year.
The actual net income, including acquisition-related and other charges, was $3.5 million, or $0.03 per diluted share for the second quarter of fiscal 2002, compared to a net loss of $7.5 million, or $0.07 per share, in the same period of fiscal 2001. A reconciliation of actual results to pro forma results is provided as supplemental information on the attached “Consolidated Statements of Operations.”
“The company executed well in many areas during the second quarter,” said J.D. Edwards President, CEO and Chairman Bob Dutkowsky. “License fee revenue and services revenue both grew sequentially, pro forma earnings per share doubled over last year and doubled over last quarter, we added over $50 million in cash and investments to the balance sheet, and we further improved our receivables management driving days sales outstanding down to 72 days. This is the third consecutive quarter that J.D. Edwards has delivered better than expected results, and our performance once again demonstrated that there is considerable leverage in our business model.”

· Introduced J.D. Edwards 5. J.D. Edwards 5 is a new, comprehensive family of innovative, collaborative enterprise software products and services. J.D. Edwards 5 includes seven product lines: Enterprise Resource Planning, Customer Relationship Management, Supply Chain Management, Supplier Relationship Management, Business Intelligence, Collaboration and Integration, and Tools and Technology. It also includes a unified set of consulting, implementation, training and support services.
· Announced an enhanced real estate management solution. As part of the ERP suite within J.D. Edwards 5, the new real estate solution provides significant new functionality for both retail and commercial property owners. This solution will help customers better manage their assets and optimize revenue potential by ensuring the most advantageous use of property and space.
· Signed new license agreements. The Company signed agreements for its collaborative solutions with customers including United Technologies Corp., Wilbur Ellis Company, Carlisle Companies, Inc., Interstate Battery System of America, Inc., Prime Hospitality, Stryker Corporation, Memec, Office of the Commissioner of Baseball, and Burlington Industries in the United States; Mondi Limited, Omron Europe BV, and Grouper Ltd. in Europe; EnCana Corporation and O&Y Properties in Canada; and Soares Penido Participacoes e Empreendimentos S/A in Latin America.
Robert M. Dutkowsky named Chairman of the Board. Mr. Dutkowsky was named Chairman at the Company’s annual stockholders meeting in March 2002. He joined J.D. Edwards as President and Chief Executive Officer in January 2002.
