Getronics NV (“Getronics”) and PinkRoccade NV (“PinkRoccade”) jointly announce that Getronics confirms its intention to make a recommended offer of EUR 14.30 in cash (cum dividend) per ordinary PinkRoccade share following the approval of its Extraordinary General Meeting of shareholders scheduled for 2 February 2005. The intended offer values the entire outstanding share capital of PinkRoccade at EUR 350 million.
The State of the Netherlands has signed an undertaking that it will tender its holding of 25.8 per cent. of the outstanding share capital of PinkRoccade under such offer, provided that certain conditions are met.
Getronics has assessed the additional information received from PinkRoccade on 25 January 2005, which formed part of the Due Diligence performed by Ordina NV. The information is fully consistent with the information previously obtained validating the expected business performance of PinkRoccade.
The Management Board and Supervisory Board of PinkRoccade support and will unanimously recommend the offer.
This announcement is a public announcement as meant within Section 9b paragraph 1 of the Dutch Securities Supervision Decree (Besluit toezicht effectenverkeer 1995).
