Network Associates Reports Second Quarter Consolidated Revenue of $233 Million

Revenue Grows 21 Percent Year Over Year

SANTA CLARA, Calif., July 11 -- Network Associates, Inc.  (NYSE: NET)
today announced that for the second quarter ended June 30, 2002,
consolidated net revenue was $233 million.  Excluding McAfee.com, Network
Associates reported second quarter net revenue of $212.3 million.  On a
consolidated basis, Network Associates' second quarter net earnings were
$21.2 million, or $0.12 per share - diluted.  The pro forma net earnings
for the second quarter, excluding McAfee.com, were $20.5 million, or $0.12
per share - diluted. In the second quarter, the company generated $35
million in cash from operations, ending the quarter with cash and
marketable securities totaling $1.1 billion.

"Network Associates had a strong second quarter performance," said George
Samenuk, chairman and CEO of Network Associates.  "In the last 18 months
we have been listening to our customers.  As we move forward in 2002 and
beyond we will continue to design, develop and deliver both the existing
world-class products our customers have come to expect, as well as the
next generation of security and network technologies designed to meet the
evolving needs of our customers."

Operating Highlights
Regarding the company:
Network Associates announced plans to acquire publicly held shares of
McAfee.com Corp.  (Nasdaq: MCAF) Class A common stock.  Network Associates
has offered to exchange 0.78 of a share of Network Associates common stock
for each outstanding share of McAfee.com Class A common stock.  Network
Associates currently owns 75% of McAfee.com.

The company also received wide industry recognition and acclaim in the
second quarter.  In June, Samenuk joined CEOs from leading technology
companies and senior cabinet officials, including Governor Tom Ridge,
assistant to the President for Homeland Security and U.S. Labor Secretary
Elaine Chao, to discuss "Promoting Innovation, Competitiveness and Service
in the 21st Century," at the White House.  The panel discussions were
followed by remarks from President George Bush.

The company also received industry awards including: "Product of the Year"
from Network Magazine for the McAfee e250 appliance; "Editor's Choice"
from PC Magazine for the McAfee e500 appliance; the "Reader's Trust" and
"Academy Award" from Secure Computing Magazine for the McAfee Anti-Virus
and E-Business Server products respectively.

Network Associates also entered into a strategic partnership with Internet
Security Systems (ISS), designed to deliver integrated security products
and services.  Through the alliance, Network Associates will combine ISS's
industry-leading intrusion detection technology with advanced network
fault isolation and performance management technology from Sniffer.  Also
under the alliance, ISS will combine the McAfee anti-virus technology with
its intrusion detection products.  The correlation of events will provide
customers with better protection from hybrid threats.

Regarding products:
McAfee Security introduced several new products in the second quarter
while protecting customers with rapid discovery, cure and information
dissemination on the most prominent new virus threats, including Klez,
Simile.D and Perrun.  New products included McAfee ThreatScan, a unique,
proactive technology for preventing virus attacks and stopping recurring
outbreaks before they impact corporate networks.  This new virus
vulnerability assessment tool works in conjunction with McAfee's leading
anti-virus management console, ePolicy Orchestrator, to scour the
enterprise network for devices that are vulnerable to virus infection.

At Networld+Interop in Las Vegas the company announced the latest version
of its McAfee WebShield e250 and WebShield e500 gateway appliances,  which
allow for easier installation through the delivery of transparent inline
scanning, which enables protection of the internet gateway with minimal
changes to existing network configuration.

Further addressing the security needs of smaller businesses, McAfee
introduced small business editions of its popular Active Virus Defense and
Active VirusScan product bundles which are fine-tuned for companies with
up to 250 employees.  The new product editions provide small and medium
businesses with a competitive edge against virus attacks by including the
advanced, unique management and reporting capabilities of ePolicy
Orchestrator, the console responsible for enforcing the anti-virus
security policy for some of the world's largest businesses and
governments.

Ensuring greater virus protection for remote and mobile corporate users,
McAfee launched an enhanced version of its online anti-virus managed
service, VirusScan ASaP, which delivers automated updates without Internet
connectivity and improves protection for dial-up users.  The new version
utilizes Rumor II second generation peer-to-peer updating technology.
McAfee Security also continued to sign up new partners for the McAfeeASaP
managed security services, adding ten new partners across the globe and
entering into India, Greece and Mexico.

Also announced was the latest version of the McAfee GroupShield software
for Microsoft Exchange 5.5 servers which combines multiple modes of
scanning, improved content filtering, and "joke" program detection to
better serve the security needs of Microsoft Exchange customers.  The
software supports the Microsoft virus scanning application programming
interface (AV-API), messaging application programming interface (MAPI) and
extensible storage engine (ESE) for high-performance scanning.

McAfee Security saw several competitive wins in the second quarter,
including some of the most prominent universities.  The University of
California at Los Angeles (UCLA) selected McAfee to protect their entire
campus-wide network.  The university is deploying the McAfee Active Virus
Defense and Total Virus Defense product bundles, as well as the McAfee
WebShield software for Internet gateway protection and Virex software for
Macintosh environments.  The University of Phoenix also went with McAfee's
leading management console, ePolicy Orchestrator, which will manage the
McAfee Active Virus Defense bundle, McAfee Desktop Firewall solution and
ThreatScan software to secure their campus network.  Others successes
include the Los Angeles Police Department (LAPD), which selected the
McAfee Total Virus Defense product bundle to secure their 5,000 node
crime-fighting network; the City of Irving, Texas with the Active Virus
Defense product bundle; and the City of Toronto, Canada's largest
municipality, which purchased McAfee e500 appliances to secure them at the
Internet gateway.

Sniffer Technologies took on a new dimension in the second quarter,
building on its OEM initiative to expand into new markets and grow the
business in existing markets, announcing strategic partnerships with
Apogee Networks and Anritsu Company.  Apogee Networks is the leading
provider of financial analysis solutions for shared information technology
services.  Anritsu Company is a wholly-owned subsidiary of Anritsu
Corporation and a leading provider of digital, optical, and wireless
measurement solutions.

Sniffer also announced several new products and features in the second
quarter, including the new Sniffer Enterprise Management Architecture
solution for large organizations which centralizes web-based management,
end-to-end visibility and customizable trend reporting to ensure optimal
reliability, availability and security of their global networks.

Sniffer Portable Wireless for PDAs further extends Sniffer into the
wireless and handheld space by helping small, medium and large companies
detect and resolve wireless security and performance breakdowns on 802.11b
wireless networks.

Sniffer Mobile meets the needs of cellular and personal communication
services (PCS) providers for proactive management and vitality assurance
of next generation mobile data networks.  The Sniffer Mobile software
solution delivers key insight into network communications, enabling
service providers to ensure optimal performance, availability and security
of their 2.5G and 3G mobile data networks.

New voice-over-IP (VoIP) features in the Sniffer Distributed product line
deliver immediate accessibility to critical voice data for proactive
monitoring of voice quality and availability on the network.  In addition,
Sniffer Distributed shipped with enhanced reporting features which deliver
the capability to produce over 100 real-time and historical graphical
measurements of network traffic and performance on WAN and ATM networks.

Magic Solutions continued to expand its presence in the service management
space and grow its customer base across the small, medium and large
companies in the second quarter, signing 120 new customers from key
industries. Building on its new channel strategy, Magic signed on key
partners into
its channel program.  New partners include Cromwell & Associates, a former
FrontRange partner, and NOC Builders, a former Peregrine partner.

Financial Outlook
Excluding McAfee.com, Network Associates expects third quarter net revenue
to be between $205 million and $215 million.  On a pro forma basis and
excluding McAfee.com, the company expects third quarter net earnings to be
between $0.11 and $0.13 per share. For the full calendar year 2002, the
company expects revenue, excluding McAfee.com, to be at the low-end of its
previously stated guidance.  The company reiterates its guidance for pro
forma net earnings, excluding McAfee.com, to be between $0.50 and $0.55
per share. Pro forma guidance on net earnings excludes interest expense on
the company's convertible debt, amortization expense, compensation charges
relating to employee stock options, and certain one-time charges.
