The Board of Management and the Supervisory Board of ICT Automatisering (ICT or ‘the company’) have taken notice of the announcement of DPA Group N.V. (DPA) that it has taken a 20.4% shareholding in the company and proposes to combine its business with ICT’s.
After DPA approached ICT in April, some initial, exploratory talks have taken place. ICT is of the opinion that the activities of both companies substantially differ and believes that DPA’s strategy based purely on secondment activities deviates from that of ICT. At this stage, ICT sees few shared viewpoints and believes that the proposal appears to lack strategic rationale. Furthermore, based on the indicative exchange ratio, ICT is of the opinion that DPA’s unsolicited proposal significantly undervalues the company. Therefore, ICT believes there is no cause to believe that a merger would be in the best interest of ICT and its stakeholders.
The Board of Management and Supervisory Board will however carefully review DPA’s proposal and its viability consistent with its fiduciary duties and its commitment to the strategy of ICT and the interest of all its stakeholders, including its shareholders.
