Schiphol Rijk, 9 maart 2012 - Western Digital Corp. (NYSE: WDC) maakt bekend dat de onderneming Viviti Technologies Ltd. (voorheen Hitachi Global Storage Technologies) heeft overgenomen voor een bedrag van $3,9 miljard in cash en 25 miljoen gewone aandelen van WDC met een waarde van ongeveer $0,9 miljard
1. De overname is op 8 maart jl. van kracht geworden. Hitachi, Ltd. bezit nu ongeveer 10 procent van de uitstaande WDC-aandelen en heeft het recht om twee leden te benoemen in de raad van bestuur van WD.
WD Technologies (WD) en HGST, die in 2011 een gezamenlijke omzet hadden van $15 miljard, zullen binnen de nieuwe WD-organisatie opereren als volle dochterondernemingen. De huidige chief executive officer van WD, John Coyne, krijgt ook in de nieuwe organisatie de rol van CEO. Steve Milligan wordt president, Tim Leyden chief operating officer en Wolfgang Nickl chief financial officer.

Het cash aandeel van het overnamebedrag is gefinancierd met een lening van $2,3 miljard met een looptijd van vijf jaar, kortlopende financiering vanuit een doorlopend krediet ten bedrage van $500 miljoen en bestaande liquide middelen van de onderneming. De onderneming verwacht dat de transactie direct zal leiden tot een groei van de winst per aandeel op een non-GAAP-basis, exclusief uitgaven die met de acquisitie samenhangen, kosten voor herstructurering en de afschrijving van immateriële vaste activa. De onderneming verwacht bovendien een positieve netto kaspositie te behouden.
