Check Point kondigt overname NFR Security aan

’s-Hertogenbosch, 19 december 2006 – Check Point® Software Technologies (Nasdaq: CHKP), marktleider op het gebied van internetbeveiliging, kondigt vandaag aan dat het een definitieve overeenkomst heeft gesloten voor de overname van NFR Security. NFR Security is een belangrijke speler op het gebied van real-time Intrusion Prevention.

Met de overname van NFR breidt Check Point zijn leiderschap verder uit en verhoogt de beveiliging van netwerken tegen de meest dynamische bedreigingen vandaag de dag. Check Point’s SmartDefense en NFR’s Hybrid Detection Engine (HDE) bieden klanten een nauwkeurige, real time bescherming tegen aanvallen, door de combinatie van preventieve bescherming (SmartDefense) en de accurate detectie van HDE.

“Deze overname is een belangrijke stap in Check Points strategie om het niveau van beveiliging van kritische netwerken te verhogen. De totale waarde van de transactie is ongeveer $ 20 miljoen inclusief de kosten voor de overname. NFR is opgericht in 1996, gebaseerd in Rockville en heeft 22 werknemers. De overname heeft de U.S. regulatory goedkeuring ontvangen en zal naar verwachting voor het eind van het jaar rond zijn.

Daarnaast maakte Check Point vandaag bekend dat het tot overeenstemming is gekomen met de grootste aandeelhouders van Protect Data / Pointsec. CHECK POINT TO ACQUIRE NFR SECURITY; EXPANDS INTRUSION PREVENTION CAPABILITIES TO FORTIFY ENTERPRISE NETWORKS

Award-winning intrusion prevention technologies to augment unified security architecture and offer the highest level of protection against Internet attacks

REDWOOD CITY, Calif. and ROCKVILLE, MD -- December 19, 2006 — Check Point® Software Technologies Ltd. (NASDAQ: CHKP), the worldwide leader in securing the Internet, today announced the company has signed a definitive agreement to acquire NFR Security, a leader in real-time threat prevention.

With the acquisition of NFR, Check Point will enhance its technology leadership and raise the security bar in defending enterprise networks against today’s most dynamic threats. Check Point’s SmartDefense and NFR’s Hybrid Detection Engine (HDE) will offer customers precise, real-time attack prevention by combining pre-emptive type-based protection (SmartDefense) with the highly granular and accurate attack detection provided by the HDE.

“This acquisition is an important step in Check Point’s leadership strategy to continuously raise the level of security available to enterprises for protecting their mission-critical networks. Total consideration of the transaction is approximately $20 million including acquisition related expenses. NFR, established in 1996, is based in Rockville, MD and has 22 employees. The acquisition has received U.S. regulatory approvals and is expected to close before the end of the year.
