TISCALI ACQUIRES WANADOO BELGIUM AND STRENGHTENS ITS LEADERSHIP IN BENELUX

Cagliari/Italy, 7 February 2003. - Tiscali S.p.A. (Nuovo Mercato, Milan: TIS; Nouveau Marché, Paris: 005773) announces the acquisition of Wanadoo Belgium N.V. from Wanadoo Group (Euronext Paris - Premier Marché: NAD - 012415), subsidiary of France Telecom, via its subsidiary Tiscali Belgium N.V.. The total value of the transaction is EUR 9.5 million to be paid through newly issued Tiscali shares.

The capital increase will be on the agenda of the next Tiscali’s shareholders meeting which is scheduled before end of april 2003.

Wanadoo Belgium N.V. is a leading Belgian ISP and portal with about 85.000 active users of which 25.000 are ADSL customers, generating a total turnover of about EUR 13 million in 20023.

The acquisition of Wanadoo Belgium N.V. will allow Tiscali to develop significant synergies and economies of scale of its own proprietary IP network, putting the company well on track to improve immediately and significantly the profitability of its Belgian operations. Tiscali expect to implement a smooth integration process of Wanadoo Belgium that would not cause additional costs for restructuring.

This acquisition will not impact Wanadoo clients who will be re-addressed to the Tiscali Network, and will access to the full range of innovative Tiscali services on the belgian Internet market.

The take over allows Tiscali to confirm its ranking as the Second Internet Service Provider in Belgium, strengthening at the same time its position on the ADSL market with over 30,000 broadband users.

Moreover, the transaction confirms Tiscali strong commitment in persuing its pan-european strategy and consolidates Tiscali’s leadership in the Benelux internet market.
